| Speaker accepts VISA and MasterCard. All payments must be in United States dollars. Credit card accounts used for online orders must be issued by a United States financial institution. International credit card orders can be placed by calling toll free 1.877.406.1483. Orders will not be processed if credit card information is incorrect or invalid. Payment is subject to approval from the financial institution issuing the credit card. Speaker assumes no liability if the financial institution refuses to accept the transaction for any reason. |

| SECURITY |

| To the extent reasonably possible, strict security measures are enforced to protect personal information. Secure Sockets Layering (SSL 128-bit) is used to encrypt transmitted information during a purchase. SSL technology is the industry standard for secure online transactions. Extra safeguards are in place to protect credit card information. Credit card information is stored in a restricted database on a secured server behind a firewall. Credit card information is deleted/destroyed 30 days from the original date of purchase. |

| RETURN POLICY |

Products are eligible for a refund within 30 days from the original date of purchase. Prior authorization is required from customer service before Speaker will accept any returned merchandise. Please call toll free 1.877.406.1483. Products must be in new/sellable condition and will be subject to a 10% restocking fee. The returned product(s) must include a copy of the invoice. Return shipping charges are the customer's responsibility.
Products not returned within 30 days are not eligible for a refund/return. All products are covered by a warranty against defects in material and workmanship. (See Product Warranties Below) |

| HID PRODUCT WARRANTY |

All Speaker HID products are warranted against defects in material and workmanship for one year from the original date of purchase. Products found to be defective during the warranty period will be repaired or replaced (at Speaker’s option). This warranty does not cover bulbs, sealed beams, products subjected to misuse, neglect, accident, improper installation, deliberate destruction, or use in violation of instructions furnished by Speaker.

| LED PRODUCT WARRANTY |

All Speaker LED products are warranted against defects in material and workmanship for four years or 40,000 hours of operation from the original date of purchase. Products found to be defective during the warranty period will be repaired or replaced (at Speaker's option). This warranty does not cover products exposed to chemicals, use for severe applications such as (but not limited to) construction or mining equipment, damage caused by voltage transients or spikes, misuse, neglect, accident, improper installation, deliberate destruction or use in violation of instructions furnished by Speaker.

| INDEMNIFICATION |

| CUSTOMERS AGREE TO INDEMNIFY, DEFEND AND HOLD SPEAKER (INCLUDING ITS OFFICERS, AFFILIATES, DIRECTORS, ADVISORS, MEMBERS, REPRESENTATIVES AND AGENTS) HARMLESS FROM ANY CLAIMS DAMAGES, COSTS AND EXPENSES (INCLUDING, BUT NOT LIMITED TO, ATTORNEYS’ FEES) ARISING FROM OR RELATED TO THE MISUSE OF SPEAKER'S PRODUCTS. |

| INTERPRETATION & DISPUTES |

This Agreement is governed by the laws of the United States and the State of Wisconsin, without regard to any conflict of laws provisions. The provisions of the United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. Venue for any dispute arising under this Agreement shall be proper exclusively in Washington County, Wisconsin. In the event of any dispute the prevailing party will be entitled to recovery of its reasonable attorneys’ fees and costs.
Any controversy or dispute arising out of or relating to this Agreement must be resolved by binding arbitration before a sole arbitrator. If the parties are unable to agree on an arbitrator within 30 calendar days of a written request for arbitration, an arbitrator will be selected pursuant to the rules and procedures of the American Arbitration Association (AAA). Either party may seek from any court interim or provisional relief that is necessary to protect the rights or property of that party, pending the appointment of the arbitrator or pending the arbitrator’s determination of the merits of the controversy. |
